These Beta Participation Terms, along with the Beta Participant Agreement (collectively, the “Agreement”), by and between Admittedly, Inc., with an address of 350 S Hope Ave, STE A106, Santa Barbara, California 93105 (“Admittedly”) and the counterparty set forth in the signature block below (“Participant”, “you” or “your”), apply to your participation in the Admittedly Beta Program (as defined below).
Your use of all Admittedly Services (including the Beta Program) is subject to the Admittedly Terms of Service, including the arbitration agreement and class action waiver set forth therein, and our Privacy Policy, both of which are incorporated herein by reference. In the event of a conflict between these Beta Participation Terms and the Admittedly Terms of Service, these Beta Participation Terms shall control to the extent of the conflict.
The purpose of the Admittedly Beta Program (the “Beta Program”) is to make certain alpha, beta, and other prerelease software, development tools, documentation, support materials, corrections and/or updates developed by Admittedly (each a “Beta Service”) available to you for (a) your personal use and evaluation, and (b) your provision of feedback to Admittedly on the quality and usability of the Beta Services.
Your participation in the Beta Program is voluntary and does not create any legal partnership, agency, or employment relationship between you and Admittedly, and neither party has authority to bind the other. Participation in the Beta Program does not obligate Admittedly to provide or commercially release any Beta Service. Admittedly may modify or discontinue the Beta Program or revoke your participation at any time for any reason or no reason.
Participant acknowledges that the Beta Program may incorporate one or more Artificial Intelligence (AI) components, including a Large Language Model (LLM). The Beta Program and its AI components are pre-release, experimental, and provided for testing and evaluation purposes only.
Participant understands and acknowledges that: (a) AI technologies may generate inaccurate, incomplete, biased, or misleading information (“AI Outputs”); and (b) factual assertions in AI Outputs should not be relied upon without independent verification. Admittedly and its service providers make no representations or warranties regarding the accuracy or reliability of AI Outputs and disclaim all liability for any errors or damages resulting from your use of or reliance on them.
2.1 “Confidential Information” means any Beta Service or related information supplied by Admittedly, including user interface details, specifications, APIs, development schedules, trade secrets, source code, Feedback, and any information that should reasonably be treated as confidential based on its nature or context.
2.2 “Data” means all data, content, photos, templates, and other information you provide or transmit to Admittedly as part of your use of the Beta Services.
2.3 “Feedback” means responses, comments, suggestions, or evaluations you provide regarding Beta Services, including bug reports, performance insights, or suggestions for improvement.
2.4 “Personal Information” means any personally identifying information such as a name, address, phone number, email address, IP address, or other data submitted via your use of the Beta Services.
2.5 “Testing Period” means the time from your receipt of a Beta Service until the first commercial release of that Beta Service.
3.1 License Grant. Admittedly grants you a limited, non-transferable license to access and use the Beta Services during the Testing Period solely for personal evaluation and to provide Feedback to Admittedly. All Beta Services remain the exclusive property of Admittedly.
3.2 Restrictions. You agree not to (a) copy, modify, sublicense, resell, reverse engineer, or use Beta Services to build competing products; (b) remove proprietary notices; (c) access Beta Services by unauthorized means; (d) transmit harmful code; or (e) use Beta Services in violation of applicable laws or third-party rights. Additional restrictions outlined by Admittedly also apply.
Use of Beta Services may involve the transmission and processing of Data by Admittedly and its service providers. Because Beta Services are pre-release, Admittedly cannot guarantee the security or availability of your Data. Admittedly processes Data in accordance with the Admittedly Privacy Policy.
Participant acknowledges that certain AI-related inputs (including text prompts or Personal Information) may be transmitted to and processed by a third-party AI provider, currently Anthropic, in accordance with that provider’s own terms of service and privacy policy.
By providing Feedback, you grant Admittedly a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, modify, and otherwise exploit such Feedback for any lawful purpose without obligation to acknowledge or compensate you.
You agree not to disclose or disseminate any Confidential Information and to use reasonable care to prevent unauthorized access. You will use Confidential Information only as permitted under this Agreement and acknowledge that unauthorized disclosure may cause irreparable harm to Admittedly.
Beta Services are provided “AS IS” without warranties of any kind. They may be incomplete, contain errors, or cause data loss. Admittedly disclaims all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
You assume all risks and costs associated with your use of Beta Services. In no event will Admittedly be liable for indirect, special, incidental, or consequential damages, and Admittedly’s total cumulative liability shall not exceed $100 USD.
You agree to comply with all applicable U.S. and international export laws and will not export or re-export any Beta Service or related information in violation of such laws.
The Agreement will remain in effect during the applicable Testing Period unless terminated earlier by either party. You may terminate with fifteen (15) days’ written notice. Admittedly may terminate immediately for any reason or no reason. Upon termination, you must return or destroy all Confidential Information and discontinue use of Beta Services.
